Experience: Minimum 3 years (relevant) | Qualifications: CS or LLB
Key Responsibilities & Requirements:
- Advising on and managing transactions under the Companies Act, SEBI regulations (LODR, ICDR, SAST, PIT), and FEMA/RBI frameworks (FDI, ODI, ECB).
- Handling mergers & acquisitions, private equity investments, and related structuring.
- Drafting, reviewing, and negotiating transaction documents term sheets, SPAs, SSAs, shareholders' agreements, loan agreements, and similar instruments.
- Conducting legal and regulatory due diligence on listed and unlisted entities.
- Managing secretarial compliance, board and shareholder meetings, regulatory filings, and corporate governance matters.
- Providing legal opinions and advisory across applicable corporate and commercial laws.
- Knowledge of the Insolvency and Bankruptcy Code is an added advantage.
