Job Description
We are looking for a highly skilled and experienced Company Secretary to join our team in Chennai. The ideal candidate will have 5-10 years of experience ensuring compliance with legal and regulatory requirements, maintaining high standards of corporate governance, and providing expert legal and compliance advice.
Roles and Responsibility
- Ensure strict compliance with the Companies Act, SEBI regulations, and other applicable laws.
- Advise the Board of Directors on corporate governance best practices, legal and regulatory changes, and their duties.
- Develop, implement, and monitor internal policies and procedures to ensure compliance and promote ethical conduct.
- Assist in identifying, assessing, and mitigating legal and compliance risks.
- Coordinate and manage board meetings, committee meetings, annual general meetings, and extra-ordinary general meetings.
- Prepare and distribute meeting notices, agendas, board packs, and other supporting materials.
- Accurately record and maintain minutes of all meetings and ensure timely drafting and filing of resolutions.
- Track and ensure the timely completion of action items arising from meetings.
- Maintain statutory records and files, including registers of members, directors, KMPs, charges, etc., both physically and electronically.
- Prepare and file necessary forms, returns, and documents with regulatory authorities within prescribed timelines, including annual returns, financial statements, and event-based filings.
- Manage and facilitate effective communication with shareholders, including preparing annual reports, notices, and other disclosures.
- Coordinate and manage logistics of shareholder meetings, ensuring compliance with legal requirements and smooth conduct.
- Provide expert legal advice to management and the Board on various corporate matters, including contracts, intellectual property, mergers, acquisitions, demergers, and other corporate restructuring activities.
- Provide internal training and awareness sessions on compliance and governance matters.
- Stay updated on changes in corporate laws, regulations, and best practices.
Job Requirements
- Minimum 5 years of experience as a Company Secretary with a strong background in corporate law and secretarial practices.
- Strong knowledge of the Companies Act, SEBI regulations, and other applicable laws.
- Excellent communication and interpersonal skills, with the ability to provide expert legal advice.
- Ability to work independently and collaboratively as part of a team, demonstrating strong attention to detail and organizational skills.
- Proficiency in Microsoft Office and other software applications, with excellent written and verbal communication skills.
- A Bachelor's degree in Law (LLB) is required; a Master's degree in Commerce (M.Com) or Chartered Accountancy (CA) is preferred.
