Job Description

Role & responsibilities

Manage end-to-end secretarial compliances under the Companies Act, 2013, including Board/Committee Meetings, ROC filings, statutory records and corporate governance matters.

  • Handle Listed Company compliances under SEBI (LODR) Regulations, stock exchange filings, corporate actions and other capital market compliances.
  • Work on IPO, SME IPO and Capital Market Advisory assignments, including due

diligence, secretarial documentation, pre-IPO restructuring, DRHP support, listing compliances and post-listing obligations.

  • Handle FEMA and RBI compliances, including foreign investment reporting (FC-GPR, FC-TRS, FLA Return, etc.).
  • Advise clients on ESOP structuring, implementation and employee equity plans.
  • Draft, review and vet legal documents including Shareholders' Agreements (SHA), Share Subscription Agreements (SSA), NDAs, employment and commercial contracts.
  • Liaise with clients, regulators, merchant bankers, legal counsels and other intermediaries while independently managing multiple assignments.

Preferred candidate profile


We are looking for a qualified Company Secretary with 5+ years of post-qualification experience to join our growing CA firm. The ideal candidate should be capable of independently handling corporate secretarial, regulatory and advisory assignments for a diverse client base.


Requirements

• Qualified Company Secretary (ACS/FCS).

• Minimum 7 years of relevant post-qualification experience in a practicing CS/CA firm or consulting firm.

• Strong knowledge of Companies Act, IPO compliances, SEBI Regulations, FEMA/RBI compliances, ESOP advisory and corporate legal documentation.

• Excellent drafting, communication and client management skills.
