Job Description

About the Role:
We are seeking an experienced and business-focused In-House Legal Counsel to oversee the organizations legal affairs with a primary focus on commercial contracting, corporate compliance, and governance. The ideal candidate will be responsible for managing the end-to-end contract lifecycle, ensuring regulatory compliance, mitigating legal risks, and partnering with cross-functional teams to provide practical legal solutions that support business objectives. This role requires strong expertise in contract drafting and negotiations, corporate legal matters, FEMA compliance, labour laws, and corporate governance. Experience working with global stakeholders and international contracts will be an added advantage.

Key Responsibilities:
Contract Lifecycle Management (70%)

Draft, review, negotiate, and vet a wide range of commercial agreements, including customer contracts, vendor agreements, Master Service Agreements (MSAs), Statements of Work (SOWs), Non Disclosure Agreements (NDAs), partnership agreements, and other legal documents.
Lead contract negotiations while protecting the organizations legal and commercial interests.
Identify legal risks and provide practical recommendations during contract structuring and negotiations.
Manage the complete contract lifecycle, including drafting, approvals, execution, renewals, amendments, and termination.
Maintain an organized contract repository and monitor contractual obligations, key milestones, and renewal timelines.
Develop and standardize contract templates, playbooks, and legal processes to improve operational efficiency.
Provide legal guidance to business stakeholders on contractual rights, obligations, and risk exposure.
Mentor junior legal team members on contract drafting, negotiations, and legal best practices.

Corporate Compliance, Secretarial Regulatory Matters (20%)
Ensure compliance with applicable provisions of the Companies Act and corporate governance requirements.
Manage FEMA-related compliance, documentation, regulatory filings, and reporting obligations.
Monitor compliance with labour and employment laws and advise HR and business teams on related legal matters.
Support statutory audits, compliance reviews, and regulatory inspections.
Coordinate with external legal counsel, consultants, and regulatory authorities as required.

Legal Governance Policy Management (10%)
Review, draft, and update company policies, codes of conduct, and governance frameworks.
Provide legal advice to internal stakeholders on day-to-day business operations and regulatory matters.
Conduct legal awareness sessions and compliance training for employees.
Drive continuous improvement of legal processes, documentation standards, and governance practices. Required

Qualifications
Bachelor s degree in law (LL.B.) from a recognized university.
5 8 years of relevant experience in an in-house legal or corporate legal environment.

Required Skills Expertise:
Legal Regulatory Knowledge
Strong expertise in commercial contract drafting, review, negotiation, and contract lifecycle management.
Sound knowledge of Indian corporate laws and commercial legal practices.
Working knowledge of FEMA regulations, corporate secretarial compliance, and labour employment laws.
Exposure to cross-border commercial contracts, particularly involving the United States and Singapore, will be an advantage.
Understanding of intellectual property, data privacy, and technology-related agreements is desirable.
