At PwC, our Deals professionals deliver strategic advice and support to clients engaged in mergers and acquisitions, divestitures, and restructuring. The Financial Due Diligence (FDD) team provides clients with a deep understanding of target companies, focusing on value drivers, financial performance, cash flow, and key deal considerations. • As a Senior Manager in Financial Due Diligence, you will lead complex due diligence engagements, drive business growth, and inspire high-performing teams. You will act as a trusted advisor to clients, helping them navigate the complexities of transactions and make informed investment decisions that maximize value. Job Overview Client Delivery & Deal Execution • Manage and oversee significant financial due diligence engagements including buy-side, sell-side, refinancing, and carve-out transactions. • Analyze target business performance, earnings quality, cash flow dynamics, and key value drivers with strategic insight. • Identify risks, deal considerations, and potential transaction opportunities. • Convert financial analysis into actionable insights to support client negotiations and value creation. • Collaborate effectively with PwC specialists from Tax, Valuation, Strategy, Legal, and Operations to deliver comprehensive solutions. • Ensure adherence to PwCs risk management, independence, and quality standards on engagements. Leadership & People Development • Promote a collaborative, inclusive, and high-performance culture within the FDD team. • Mentor and coach Managers and emerging talent for their growth and development. • Provide career guidance through structured feedback, challenging assignments, and learning opportunities. • Embody and encourage PwC’s core values – Act with Integrity, Make a Difference, Care, Work Together, Reimagine the Possible. Innovation & Digital Enablement • Drive the use of data analytics and technology tools (e.g., Alteryx, Power BI, PwC proprietary platforms) in due diligence processes. • Foster a mindset of continuous improvement and experimentation in engagement delivery. • Enhance digital skills across team members, leveraging technology to boost insights, efficiency, and quality. Quality, Risk & Compliance • Uphold the highest professional and ethical standards in all work. • Ensure full compliance with PwC’s independence, risk, and quality frameworks. • Participate in internal quality reviews, methodology enhancement, and ongoing professional development programs. Requirements and Qualifications • Bachelor's degree in accounting, Finance, Economics, or related discipline. • 8-12 years of relevant experience, with substantial exposure to financial due diligence, M&A advisory, or transaction services • Professional qualifications such as CA / CPA / ACA/ MBA preferred. • Strong analytical and financial modeling capability with deep understanding of accounting principles. • Proven track record of leading large, multi-disciplinary teams and managing senior client relationships. • Commercial acumen and ability to connect financial findings to business outcomes. • Proficiency in technology-driven analytics tools used in due diligence • Excellent written and verbal communication skills, with an executive presence and ability to influence C-suite stakeholders. • Sector experience in one or more industries (e.g., Consumer, TMT, Healthcare, Industrial Products). • Ability to thrive in dynamic, high-pressure deal environments. • Growth mindset with passion for innovation, digital transformation, and continuous improvement. • Minimum eight days a month required in office.
