Role Objective: We are seeking to hire a Qualified Company Secretary (CS) with minimum 1+ years of post-qualification experience, specifically in Secretarial, RERA and ROC Compliance per Companies Act 2013. The ideal candidate will work closely with senior management and manage End-to-End Compliances of ROC, Support in Drafting and Vetting of Various Documents along with ongoing Secretarial and Corporate Governance responsibilities.
Key Job Role and Responsibilities:
- Core Secretarial Responsibilities
- Statutory Compliance: Ensure 100% adherence to the Companies Act, 2013 and associated Rules.
- Adherence to employment, shop and establishment and all other applicable laws
- Board Governance: Prepare notices, agendas, and detailed minutes for Board, Committee & General Meetings (AGM/EGM).
- ROC and MCA Filings: Manage all e-filing of forms (AOC-4, MGT-7, DIR-12, PAS-3, etc.) on the MCA21 Portal including share transfers, directors change, nominee shareholder filings etc.
- Experience in RERA [Real Estate Regulatory Authority] Periodic filling of Returns and associate compliances.
- Secretarial Standards: Implement and monitor compliance with the applicable secretarial standards.
- Records Management: Maintain all statutory registers, share certificates, and the common seal.
- Banking Liaison: Coordinate with Banks and Financial Institutions for inward/outward remittances and compliance certificates.
2. Internal Audit & Risk Management
- Audit Framework: Assist in Design and ensure execution a risk-based Internal Audit plan to ensure operational efficiency.
- Internal Financial Controls (IFC): Review and strengthen existing financial controls to prevent fraud and errors.
- Process Improvement: Audit key functions and provide actionable recommendations to the Board.
- Policy Drafting: Develop internal SOPs, Code of Conduct, and Whistle-blower policies as maybe required.
3. Legal & General Management
- Contract Management: Draft, vet, and negotiate commercial contracts, lease deeds, and NDAs etc. as maybe required from time to time.
- Advisory: Act as the primary advisor to the Board on changes in corporate laws and regulatory updates.
- Litigation: Manage legal notices and coordinate with external legal counsel when necessary.
Preferred Candidate Profile
- Education: Associate/Fellow Member of the Institute of Company Secretaries of India (ICSI). An LLB degree will be plus
- Experience: 1+ years in a Private Limited company environment.
- Technical Skills: Sound expertise and knowledge in Companies Act, RERA Regulations and Compliance and Secretarial Audit processes.
- Soft Skills: Exceptional drafting skills, high ethical standards, and the ability to communicate complex legalities to stakeholders.
